TERMS AND CONDITIONS

INTRODUCTION

This page states the terms of use (“Terms”) under which you (“You”) may use the 1NURSE.COM application and websites (collectively referred to as “1NURSE.COM app”), and Your relationship with 1NURSE.COM Pte. Ltd.  (“1NURSE.COM”, “we”, “us”, or “our”). Please read them carefully as they affect Your rights and liabilities under the law. If You do not agree to these Terms, please do not register for or use the 1NURSE.COM app. These Terms are effective as of 13th Sep 2021.

1. Binding Agreement

1.1 This 1NURSE.COM app is provided to you for your use subject to these Terms. These Terms form a binding agreement between you and 1NURSE.COM. By registering, accessing or using any 1NURSE.COM app or services, you agree to accept and/or to be bound by these Terms and to use the 1NURSE.COM app at your own risk. 

1.2 If you wish to terminate this contract, at any time you can do so by closing your account and no longer accessing or using our services.

1.3 In the case of any conflict between these Terms and any contract you have with 1NURSE.COM, these Terms will take precedent.

1.4 We may update these Terms from time to time for legal or regulatory reasons or to allow the proper operation of the 1NURSE.COM app. Any changes will be notified to you via the e-mail address provided by you on registration or via a suitable announcement on the 1NURSE.COM app. The changes will apply to the use of the 1NURSE.COM app after we have given you notice. If you do not wish to accept the new Terms you should not continue to use the 1NURSE.COM app. If you continue to use the 1NURSE.COM app after the date on which the change comes into effect, your use of the 1NURSE.COM app indicates your agreement to be bound by the new Terms.

2. Definitions

2.1 “1NURSE.COM” means 1NURSE.COM Pte Ltd or or any affiliate of the group or the company operating the 1NURSE.COM app for the country in which you live or in which business is operated from..

2.2 “1NURSE.COM app” or  “1NURSE.COM apps” refer to all 1NURSE.COM applications and websites

2.3 “1NURSE.COM Content” includes all Text, Graphics, Design, Programming, information, images, video, audio files, software and other contents used on the 1NURSE.COM app.

2.4 “1NURSE.COM Database” includes all job advertisements posted on 1NURSE.COM apps and/or all candidates and/or employers’ information registered with 1NURSE.COM.

2.5 “1NURSE.COM Profile” means the profile created by Candidates that may include personal information, resume and photo.

2.6 “1NURSE.COM Services” means any services provided by 1NURSE.COM or its agents including:-

  1. the provision of an online job site, including posting and searching for employment opportunities, and creating 1NURSE.COM Profiles and Company Profiles which may include personal information;
  2. the provision of talent sourcing services;
  3. the provision of online resume search access;
  4. matching of job specifications with potential candidate 1NURSE.COM Profiles and advising Users and/or Candidates of the positions available;
  5. providing Advertisers and/or Employers with other ancillary talent sourcing and advertising services including banners, electronic direct mail system, design and posting support services; and
  6. providing Advertisers and/or Employers services to advertise on the 1NURSE.COM app.
  7. Any service ancillary or similar to above

2.7 “Advertiser” means a person or entity that is contracting to post advertisements on any of the 1NURSE.COM apps.

2.8 “Candidate” or “Candidates” means a User who is accessing a 1NURSE.COM app to search for a job or in any other capacity except as an Employer.

2.9 “Company Profiles” means profile created by Employers.

2.10 “Design” includes the colour combinations and the page layout of the 1NURSE.COM app.

2.11 “Employer” or “Employers” means a person or entity that is accessing a 1NURSE.COM app to post a job or utilising the 1NURSE.COM Services for any reason related to the purpose of seeking candidates for employment.

2.12 “Employer Materials” includes any brochures, emails, job postings, app content, career fair material, audio, videos, photographs, logos, trademarks, service marks, domain names, documents or other materials provided by Employer, if any, for use in connection with the 1NURSE.COM Services.

2.13 “Graphics” includes all logos, button icons, and other graphical elements on the 1NURSE.COM app, except for paid advertising banners.

2.14 “Programming” includes both client-side code (HTML, JavaScript, etc.) and server-side code (Active Server Pages, VBScript, databases, etc.) used on the 1NURSE.COM app.

2.15 “Resume Database” means the candidates Profiles and resume created and/or uploaded into 1NURSE.COM databases.

2.15 “Text” includes all text on every page of the 1NURSE.COM app, whether editorial, navigational, or instructional.

2.17 “User” refers to any individual or entity that uses any aspect of the 1NURSE.COM app and/or 1NURSE.COM Services.

2.18 “User Content” means all information, data, text, software, music, sound, photographs, graphics, video, advertisements, messages or other materials submitted, posted or displayed by Users on or through the 1NURSE.COM app.

2.19 “You” or “you” means the person who (or the entity on behalf of whom you are acting) that is agreeing to these Terms.

3. Registration and Service Eligibility

3.1 The 1NURSE.COM Services are not for use by anyone under the age of 16. To register on the 1NURSE.COM app and/or use our Services, you agree that: (1) you must be 16 years of age or above (“Minimum Age”); (2) you will only have one 1NURSE.COM account, which must be in your real name; and (3) you are not already restricted by 1NURSE.COM from using the Services. 

3.2 Creating an account with false information is a violation of our terms, including accounts registered on behalf of others or persons under the age of 16. However, if the law of your country requires that you must be older for 1NURSE.COM to lawfully provide the
app services to you without parental consent (including using of your data) then the Minimum Age is such older age.

3.3 You must ensure that the details provided by you on registration or at any time are correct and complete.

3.4 You must inform us immediately of any changes to the information that you provided when registering by updating your personal details so that we can communicate with you effectively.

4. Password and Security

4.1 When you register to use the 1NURSE.COM app you will be asked to create a password. To prevent fraud, you must keep this password confidential and must not disclose it or share it with anyone. You should also not share an account with anyone else. If you know or suspect that someone else knows your password you should notify us by contacting us immediately.

4.2 If 1NURSE.COM has reason to believe that there is likely to be a breach of security or misuse of the 1NURSE.COM app, we may require you to change your password or we may suspend your account.

4.3 As a result of the loss of your Password or the misuse of the 1NURSE.COM app:

  1. all losses or damage incurred thereby shall be borne by you, and
  2. you shall fully indemnify 1NURSE.COM should 1NURSE.COM suffer any loss or damage.

5. Intellectual Property

5.1 1NURSE.COM app, 1NURSE.COM Content, and all right, titles and interest in and to 1NURSE.COM app and 1NURSE.COM Content are the exclusive property of 1NURSE.COM or its licensors.

5.2 1NURSE.COM app and 1NURSE.COM Content are protected by copyright, trademark, database right and other intellectual property rights.

5.3 You may retrieve and display 1NURSE.COM. Content of the 1NURSE.COM app on a computer screen, store such content in electronic form on disc (but not any server or other storage device connected to a network) or print one copy of such content for your own personal, non-commercial use, provided you keep intact all and any copyright and proprietary notices. You may not otherwise reproduce, modify, copy or distribute or use for commercial purposes any of the materials or 1NURSE.COM Content on the 1NURSE.COM app without written permission from 1NURSE.COM.

6. Availability of the 1NURSE.COM App

6.1 Although we aim to offer you the best service possible, we make no promise that the services at the 1NURSE.COM app will meet your requirements.

6.2 We cannot guarantee that the 1NURSE.COM app will be fault-free, error-free, or that the 1NURSE.COM app and servers are free of viruses or other harmful mechanisms. Should a fault occurs with the 1NURSE.COM app, you should report it to us and we will attempt to correct the fault.

6.3 Your access to the 1NURSE.COM app may be occasionally restricted to allow for repairs, maintenance or the introduction of new content, facilities or services. We will attempt to restore access and/or service as soon as we reasonably can.

7. Your Use of the 1NURSE.COM App

7.1 1NURSE.COM hereby grants you a limited, terminable, non-exclusive right to access and use the 1NURSE.COM app only for your personal use and/or employment purposes.

7.2 You may not use the 1NURSE.COM app for any of the following purposes:-

  1. disseminating or transmitting any unlawful, harassing, libellous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material or otherwise breaching any laws;
  2. aggregating, copying or duplicating in any manner any of the 1NURSE.COM Content or information available from any 1NURSE.COM app, including expired job postings;
  3. reproducing any of the 1NURSE.COM Content for general use;
  4. link to any 1NURSE.COM Content or information available from any 1NURSE.COM app;
  5. transmitting material that encourages conduct that constitutes a criminal offence, or otherwise breaches any applicable laws, regulations or code of practice;
  6. interfering with any other person’s use or enjoyment of the 1NURSE.COM app; or
  7. making, transmitting or storing electronic copies of materials protected by copyright without the permission of the owner.

7.3  You agree not to resell or assign your rights or obligations under these Terms. You also agree not to make any unauthorised commercial use of any 1NURSE.COM app.

8. Your Use of the 1NURSE.COM Services

8.1 The 1NURSE.COM Services may be used only by:

  1. individuals seeking employment, and career and career-related information, such as education and voluntary services;
  2. Employers or their agents seeking candidates for employment purposes; and
  3. Advertisers.

8.2 Your use of the 1NURSE.COM Services is also subject to any other contracts you may have with 1NURSE.COM. In the case of any conflict between these Terms and any contract you have with 1NURSE.COM, these Terms will prevail.

8.3 All Users agree to not:-

  1. transmit, post, distribute, store or destroy material, including without limitation 1NURSE.COM Content, in violation of any applicable law or regulation, including but not limited to laws or regulations governing the collection, processing, or transfer of personal information, or in breach of 1NURSE.COM’s Privacy Policy;
  2. violate or attempt to violate the security of any 1NURSE.COM app;
  3. reverse engineer or decompile any parts of any 1NURSE.COM app;
  4. aggregate, copy or duplicate in any matter any of the 1NURSE.COM Content or information available from any 1NURSE.COM app, including expired job postings, other than as permitted by these Terms;
  5. post any content or material that facilitates, promotes or endorses scams, false or misleading information or illegal activities, OR endorses or provides instructional information about illegal activities or other activities prohibited by these Terms, such as making or buying illegal weapons, violating someone’s privacy, providing or creating computer viruses or pirating media, OR promotes or endorses any political views or agenda;
  6. post any profile, resume or apply for any job on behalf of another party;
  7. share with a third party any login credentials to any 1NURSE.COM app;
  8. access data not intended for you or logging into a server or account which you are not authorised to access;
  9. post or submit to any 1NURSE.COM app any inaccurate, incomplete, misleading, false, not up to date biographical information or information which is not your own;
  10. post content that contains restricted or password-only access pages, or hidden pages or images;
  11. solicit passwords or personally identifiable information from other Users;
  12. delete or alter any material posted by any other person or entity;
  13. harass, incite harassment or advocate harassment of any group, company or individual;
  14. send unsolicited mail or email, make unsolicited phone calls or send unsolicited faxes promoting and/or advertising products or services to any User, or contact any users that have specifically requested not to be contacted by you;
  15. attempt to interfere with service to any User, host or network, including, without limitation, via means of submitting a virus to any 1NURSE.COM app, overloading, “flooding”, “spamming”, “mailbombing”, or “crashing”.
  16. use the 1NURSE.COM Services for any unlawful purpose or illegal activity, or post or submit any content, profile,  resume, or job posting that is defamatory, libellous, implicitly or explicitly offensive, vulgar, obscene, threatening, harassing, abusive, hateful, racist, discriminatory, of a malicious nature or likely to cause annoyance, inconvenience, embarrassment, anxiety or could cause harassment to any person or include any links to pornographic, indecent or sexually explicit material of any kind, as determined by 1NURSE.COM’s discretion; or
  17. post any profile or resume which is not a genuine profile or resume and which attempts to advertise or promote products or services.

8.4 Violations of network security may result in civil and/or criminal liability. 1NURSE.COM will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement agencies in prosecuting Users who are involved in such violations.

9. Additional Terms Applicable to Employers

9.1 1NURSE.COM hereby grants you a limited, terminable, non-exclusive right to access and use the 1NURSE.COM app for your internal business use seeking candidates for employment. You are only authorised to view and download 1NURSE.COM Content or materials on the 1NURSE.COM app solely for your use directly related to searching for and recruiting Candidates. Distribution of 1NURSE.COM content is limited only to company employees only i.e. Subscriber. Distribution to any employer affiliate requires pre-approval by 1NURSE.COM

9.2 1NURSE.COM also grants you a limited, terminable, non-exclusive right to use 1NURSE.COM Services for your internal use only.

9.3 You are responsible for maintaining the confidentiality of your Employer account, Company Profiles and passwords, as applicable.

9.4 You may not share your password or other account access information with any other party, temporarily or permanently, and you shall be strictly liable and/or responsible for all uses of your 1NURSE.COM app registrations and passwords, whether or not authorised by you.

9.5 You agree to immediately notify 1NURSE.COM of any unauthorised use of your employer account, Company Profiles or passwords.

9.6 Employer represents, warrants and covenants that any Employer Materials provided by Employer for use in connection with 1NURSE.COM Services will not violate any laws or regulations or third-party proprietary rights, including, without limitation, copyright, trademark, obscenity, rights or publicity or privacy, and defamation laws.

9.7 Employers acknowledge and agree that it shall disregard any personal data received from the Candidate which are irrelevant to obtaining and assessing the suitability of candidates.

9.8 Employers are solely responsible for the Employer Materials on the 1NURSE.COM app. 1NURSE.COM is not to be considered to be an employer with respect to your use of any 1NURSE.COM app and 1NURSE.COM shall not be responsible for any employment decisions, for whatever reasons, made by any entity posting jobs on any 1NURSE.COM app.

9.9 Employer Materials may not contain:-

  1. misleading, unreadable, or “hidden” keywords, repeated keywords or keywords that are irrelevant to the job opportunity being presented;
  2. names, logos or trademarks of unaffiliated companies;
  3. inaccurate, false, or misleading information; and
  4. material or links to material that is discriminatory, sexually explicit, obscene, libellous, defamatory, threatening, harassing, abusive, or hateful, or solicits personal information from anyone under 18.

9.10 You may not use your Employer Materials to:-

  1. post jobs in a manner that does not comply with applicable local, national laws, including but not limited to laws relating to labour and employment, equal employment opportunity and employment eligibility requirements, data privacy, data access and use, and intellectual property;
  2. sell, promote or advertise products or services;
  3. post any franchise, pyramid scheme, distributorship, or multi-level marketing opportunity;
  4. promote any opportunity that does not represent bona fide employment; and
  5. advertise sexual services or seek employees for jobs of a sexual nature.

9.11 1NURSE.COM does not encourage any Employer Materials on the 1NURSE.COM app that request Candidates to pay deposits, placement fees, processing fees or any other similar fees, directly or indirectly, and/or require Candidates to make purchases.

9.12 1NURSE.COM does not allow job advertisements that advertise more than 1 job position in each job posting.

9.13 1NURSE.COM is under no obligation to monitor the Employer Materials on the 1NURSE.COM app, but 1NURSE.COM may monitor the Employer Materials at random.

9.14 1NURSE.COM reserves the right to remove any Employer Materials or content from any 1NURSE.COM app, which in the reasonable exercise of 1NURSE.COM’s discretion, does not comply with this Section, or if any content is posted that 1NURSE.COM believes is not in the best interest of 1NURSE.COM.

9.15 If any time during your use of the 1NURSE.COM Services, you made a misrepresentation of fact to 1NURSE.COM or otherwise misled 1NURSE.COM in regards to the nature of your business activities or breach of the Terms herein, 1NURSE.COM may terminate your use of the 1NURSE.COM Services and in such event, any payment made by you shall be forfeited.

9.16 You understand and acknowledge that if you cancel your Employer account or your Employer account is terminated, all your account information from 1NURSE.COM, including saved 1NURSE.COM Profiles and resumes, network contacts, and email mailing lists, will be marked as deleted and may be deleted from 1NURSE.COM Databases. Information may continue to be available for some time because of delays in propagating such deletion through 1NURSE.COM’s web servers or record retention policy as applicable.

10. Additional Terms Applicable to Jobseekers

10.1 1NURSE.COM hereby grants you a limited, terminable, non-exclusive right to access and use the 1NURSE.COM app only for your personal use seeking employment opportunities for yourself. This authorises you to view and download a single copy of the 1NURSE.COM Content or material on the 1NURSE.COM app solely for your personal, non-commercial use.

10.2 When you register with any 1NURSE.COM app, you will be asked to create an account and provide 1NURSE.COM with certain information including a valid email address.

10.3 Any 1NURSE.COM Profile you submit must be accurate, complete, up to date and not misleading. The 1NURSE.COM Profile requires standard fields to be completed by you. You may not impersonate another person, living or dead.

10.4 You acknowledge and agree that you are solely responsible for the form, content and accuracy of any 1NURSE.COM Profile and resume or material contained therein placed by you on the 1NURSE.COM app.

10.5 You acknowledge and agree that you are solely responsible for any consequences arising from such posting.

10.6 1NURSE.COM reserves the right to offer third party services and products to you based on the preferences that you identify in your registration and at any time thereafter or you have agreed to receive, such offers may be made by 1NURSE.COM or by third parties.

10.7 Please see 1NURSE.COM’s Privacy Policy, for further details regarding your information. Please note, as outlined in the 1NURSE.COM’s Privacy Policy, that 1NURSE.COM may collect certain User information and may contact Users periodically in accordance with the terms of the Privacy Policy. In addition, 1NURSE.COM reserves the right to comply, in its sole discretion, with legal requirements, requests from law enforcement agencies or requests from government entities, even to the extent that such compliance may require disclosure of certain User information. In addition, third parties may retain cached copies of User information.

10.8 You understand and acknowledge that all information provided by you, your 1NURSE.COM Profile, resume, and/or account information shall be disclosed to prospective Employers.

10.9 You understand and acknowledge that you have no ownership rights in your account and that if you cancel your 1NURSE.COM account or your 1NURSE.COM Account is terminated, all your account information from 1NURSE.COM, including 1NURSE.COM Profile, resumes, cover letters, saved jobs, will be marked as deleted in and may be deleted from 1NURSE.COM Databases and will be removed from any public area of the 1NURSE.COM app. Information may continue to be available for some time because of delays in propagating such deletion through 1NURSE.COM’s web servers. In addition, third parties may retain saved copies of your information.

10.10 1NURSE.COM reserves the right to delete your account and all of your information after a significant duration of inactivity.

11. User Content and Submissions

11.1 You understand that all User Content is the sole responsibility of the person from which such User Content originated.

11.2 You understand and acknowledge that all information provided by you, your 1NURSE.COM Profile, resume, and/or account information shall be stored in 1NURSE.COM Databases and/or 1NURSE.COM Resume Databases.

11.3 You understand, acknowledge and consent that all information provided by you, your 1NURSE.COM Profile, resume, and/or account information may be transferred to countries outside of your location for the purposes of storing and/or processing. Please see 1NURSE.COM’s Privacy Policy, for further details. 

11.4 By submitting, posting or displaying User Content on or through the 1NURSE.COM app, you grant 1NURSE.COM, subject to your privacy setting, a worldwide, nonexclusive, royalty-free licence to reproduce, adapt, distribute and publish such User Content through the 1NURSE.COM app. 1NURSE.COM will discontinue this licenced use within a commercially reasonable period after such User Content is removed from the 1NURSE.COM app. 1NURSE.COM reserves the right to refuse to accept, post, display or transmit any User Content at its sole discretion. 

11.5 If you post User Content in any public area of any 1NURSE.COM app, you also permit any User to access, view, store and reproduce such User Content for personal use.

11.6 1NURSE.COM may review and remove any User Content that, in its sole judgment, violates these Terms, violates applicable laws, rules or regulations, is abusive, disruptive, offensive or illegal, or violates the rights of, or harms or threatens the safety of, Users of any 1NURSE.COM app. 1NURSE.COM reserves the right to expel Users and prevent their further access to the 1NURSE.COM app and/or use of 1NURSE.COM Services for violating the Terms or applicable laws, rules or regulations. 1NURSE.COM may take any action concerning User Content that it deems necessary or appropriate in its sole discretion if it believes that such User Content could create liability for 1NURSE.COM, damage 1NURSE.COM’s brand or public image, or cause 1NURSE.COM to lose Users.

11.7 1NURSE.COM does not represent or guarantee the truthfulness, accuracy, or reliability of User Content, derivative works from User Content, or any other communications posted by Users nor does 1NURSE.COM endorse any opinions expressed by Users. You acknowledge that any reliance on material posted by other Users will be at your own risk.

12. Payment of Fees

12.1 All amounts owed to 1NURSE.COM must be paid within the specified payment terms from the date of the invoice.

12.2 1NURSE.COM may charge interest at 8% per annum on any late payment.

12.3 Advertisers shall be liable for the full payment of fees from the commencement of the contracts and/or sales orders. 

12.4 Payment of fees will be made notwithstanding any errors or omissions in the advertisements. Should there be any errors or omissions in the advertisements, 1NURSE.COM shall use its best commercial efforts to rectify the error or omissions.

12.5 All prices quoted are exclusive of any applicable taxes unless specifically noted otherwise.

13. 1NURSE.COM’s Right to Suspend or Cancel Your Registration

13.1 We may suspend or cancel your registration immediately at our reasonable discretion or if you breach any of your obligations under these Terms.

13.2 You can cancel your registration at any time by informing us in writing here. If you do so, you must stop using the 1NURSE.COM app.

13.3 The suspension or cancellation of your registration and your right to use the 1NURSE.COM app shall not affect either party’s statutory rights or liabilities.

14. Term and Termination

14.1 These Terms will remain in full force and effect while you are a user of our app.

14.2 1NURSE.COM reserves the right, at its sole discretion, to pursue all of its legal remedies, including but not limited to removal of your User Content from the 1NURSE.COM app and immediate termination of your registration with or ability to access the 1NURSE.COM app and/or any other services provided to you by 1NURSE.COM, upon any breach by you of these Terms or if 1NURSE.COM is unable to verify or authenticate any information you submit to a 1NURSE.COM app registration.

14.3 Even after you are no longer a User of the 1NURSE.COM app, certain provisions of these Terms will remain in effect, including Sections 5, 12, 14, 15, 16 and 19, inclusive.

15. 1NURSE.COM’s Liability

15.1 1NURSE.COM app and 1NURSE.COM Services act as, among other things, a platform for:-

  1. Employers or their agents to post job opportunities and search for and evaluate job candidates;
  2. candidates to post 1NURSE.COM Profiles and resumes and search for and evaluate job opportunities; and
  3. Advertisers to post their advertisements.

15.2 1NURSE.COM does not screen or censor the listings, including 1NURSE.COM Profiles offered. 1NURSE.COM is not involved in the actual transaction between employers and candidates. As a result, 1NURSE.COM is not responsible for User Content, the quality, safety or legality of the jobs or 1NURSE.COM or resumes posted, the truth or accuracy of the listings, the ability of employers to offer job opportunities to candidates or the ability of candidates to fill job openings and 1NURSE.COM makes no representations about any jobs, 1NURSE.COM Profiles, resumes or User Content on the 1NURSE.COM app.

15.3 1NURSE.COM reserves the right in its sole discretion to remove any User Content including but not limited to 1NURSE.COM Profiles, Company Profiles, Employer Materials, or other material from the 1NURSE.COM app from time to time. When 1NURSE.COM exercises this discretion and there is a breach of these Terms by the User, any payment made by the User will be forfeited.

15.4 The 1NURSE.COM app also provides content from other internet sites or resources and while 1NURSE.COM tries to ensure that material included on the 1NURSE.COM app is correct, reputable and of high quality, it does not make any warranties or guarantees concerning that content. If 1NURSE.COM is informed of any inaccuracies in the material on the 1NURSE.COM app we will attempt to correct the inaccuracies as soon as we reasonably can.

15.5 Note that there are risks, including but not limited to the risk of physical harm, of dealing with strangers, underage persons or people acting under false pretences. You assume all risks associated with dealing with other users with whom you come in contact through the 1NURSE.COM app. By its very nature other people’s information may be offensive, harmful or inaccurate, and in some cases will be mislabelled or deceptively labelled. We expect that you will use caution and common sense when using the 1NURSE.COM app.

15.6 1NURSE.COM app and 1NURSE.COM Content may contain inaccuracies or typographical errors. 1NURSE.COM makes no representations about the accuracy, reliability, completeness, or timeliness of any 1NURSE.COM app or the 1NURSE.COM Content. The use of all 1NURSE.COM apps and the 1NURSE.COM Content is at your own risk.

15.7 Nothing on the 1NURSE.COM app shall be considered an endorsement, representation or warranty concerning any User or third party, whether in regards to its apps, products, services, hiring, experience, employment or recruiting practices, or otherwise.

15.8 If we are in breach of these Terms, we will only be responsible for any losses that you suffer as a direct result and to the extent that they are a foreseeable consequence to both of us at the time you use the 1NURSE.COM app. Our liability shall not, in any event, include business losses such as lost data, lost profits or business interruption.

15.9 The aggregate liability by 1NURSE.COM to you for all claims arising from your use of the 1NURSE.COM app and/or 1NURSE.COM Services shall be limited to the amount of the existing package fee subscribed to and paid by you and operative at that time, or in the event you are a Candidate, shall be limited to USD[X]. The conversion rate will be the prevailing market exchange rate between USD and your local currency on the date of the breach or at a rate agreed upon by both you and 1NURSE.COM.

16. Disclaimers

16.1 1NURSE.COM shall not be liable for any loss of information howsoever caused as a result of any interruption, suspension or termination of 1NURSE.COM Services or for 1NURSE.COM Content, accuracy or quality of information available or transmitted through 1NURSE.COM Services.

16.2 You acknowledge and agree that it is not 1NURSE.COM’s policy to exercise editorial control over and to edit or amend any data or contents of any emails or posting or any information that may be inserted or made available or transmitted to or from a third party in or through 1NURSE.COM app and/or 1NURSE.COM Services.

17. Third-Party Websites

17.1 As a convenience to customers, the 1NURSE.COM app includes links to other websites or material which are beyond its control. 1NURSE.COM is not responsible for content on any site outside the 1NURSE.COM app.

18. Advertising and Sponsorship Policy

18.1 Part of the 1NURSE.COM app may contain advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on the 1NURSE.COM app complies with relevant laws and codes.

18.2 1NURSE.COM reserves the right to refuse to run any advertisements that, in 1NURSE.COM sole discretion, are not suitable for publication on any of the 1NURSE.COM apps.

18.3 1NURSE.COM will not be responsible to you for any error or inaccuracy in advertising and sponsorship material.

19. Indemnity

19.1 You agree to defend, indemnify, and hold harmless 1NURSE.COM, and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from:-

  1. any User Content or other material you provide to any 1NURSE.COM app;
  2. Your use of any 1NURSE.COM Content; or
  3. Your breach of these Terms.

19.2 1NURSE.COM shall provide notice to you promptly of any such claim, suit or proceeding.

20. Refund

20.1 Any refund of payment made to 1NURSE.COM shall be at the sole discretion of 1NURSE.COM.

21. Governing Law and Dispute Resolution

21.1 You agree that these Terms will be governed by and construed in accordance with the Laws of Singapore.

21.2 The laws of Singapore shall exclusively govern any dispute relating to this Contract and/or the Services.

21.3 We will use commercially reasonable efforts to try to solve any disagreements and/or disputes. Should you be dissatisfied with the way a disagreement is dealt with, you agree to engage in mediation facilitated in accordance with the rules and procedures of the Singapore Mediation Centre in force for the time being.

22. International Use

22.1 We make no promise that materials on the 1NURSE.COM app are appropriate or available for use in your location, and accessing the 1NURSE.COM app from territories where its contents are illegal or unlawful is prohibited. If you choose to access this 1NURSE.COM app from your location, you do so on your own initiative and are responsible for compliance with local laws.

23. Miscellaneous

23.1 You may not transfer any of your rights under these Terms to any other person. We may transfer our rights under these Terms to another business where we reasonably believe your rights will not be affected.

23.2 If you breach these Terms and 1NURSE.COM chooses to ignore this, 1NURSE.COM will still be entitled to use its rights and remedies at a later date or in any other situation where you breach the Terms.

23.3 1NURSE.COM shall not be responsible for any breach of these Terms caused by circumstances beyond its reasonable control.

23.4 If any of these Terms shall be found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, the invalidity or unenforceability of such provision shall not affect the other provisions of these Terms and all provision not affected by such invalidity or unenforceability shall remain in full force and effect.

23.5 1NURSE.COM has taken every reasonable step to comply and will continue to comply with its obligations as a data processor arising from the data protection and privacy laws in force from time to time to the extent that those obligations are relevant to this Agreement. Further, we have taken steps to implement and shall maintain an information security program including reasonable administrative, technical and physical measures designed to secure and protect the confidentiality, integrity and availability of all Confidential Information while in such party’s possession against unauthorised, unlawful or accidental access, disclosure, transfer, destruction, loss or alteration. The term Confidential Information will not, however, include any information that identifies or directly relates to natural persons (“Personal Data”). Each party will exercise commercially reasonable efforts not to disclose any Personal Data to the other party and to restrict the other party’s access to its Personal Data, but if a party is given access to the other party’s Personal Data, the receiving party will protect such Personal Data using a reasonable standard of care.

24. General

24.1 The 1NURSE.COM app is owned and operated by 1NURSE.COM Pte Ltd.

24.2 Notices to 1NURSE.COM should be sent to the email address listed on the 1NURSE.COM app.

24.3 We will send notice to you at the email address submitted by you or to such other email address as 1NURSE.COM reasonably determines is an appropriate email address for you.
